Governance

St. George's School is accredited by the BC Inspector of Independent Schools and is a member of the Independent Schools Association of BC, the Canadian Association of Independent Schools, and the National Association of Independent Schools (USA). The School’s management and operations teams are led by the Head of School, Mr. David Young and are overseen by the Board of Directors of the St. George’s School Society under the stewardship of Ms. Shanni Eckford, the current Chair. The School’s endowment funds and assets are held by the St. George’s School Foundation. The current Chair of the Foundation Board is Mr. Mark Lewis '89. Both entities are incorporated under the Societies Act in British Columbia and are tax-exempt, registered charitable organizations under the Income Tax Act in Canada.

The Boards are entrusted with the fiduciary responsibility of oversight of the affairs of the School and the stewardship of its assets. Directors and Trustees have a duty to make decisions and implement policies in the best interests of the School and are bound by a Board Code of Ethical Conduct.

St. George's School Society

The School is operated by the St. George’s School Society, a not-for-profit society governed by a Board of Directors. Governance of the Society is grounded in the requirements and responsibilities set out in the Societies Act and the Society’s Bylaws and reflects guidance provided by the Canadian Accredited Independent Schools (CAIS) Guide To Governance.

The Board discharges its oversight responsibilities by delegating day-to-day operations to the Head of School and delegating certain other duties to committees and task forces. The Board is currently comprised of 16 volunteer Directors.

Pursuant to the Bylaws, the Board is comprised of a maximum of 19 Directors, including: 
  • Up to 12 persons elected by the members; 
  • Up to 4 persons appointed by the Board; and
  • The following persons who are ex-officio Directors during the term of their respective office:
    1. The President of the St. George's Parents Association,
    2. The President of the St. George's Old Boys Association; and
    3. The Chair of the St. George's School Foundation.

  • Shanni Eckford — Board Chair

    Shanni Eckford
    Shanni Eckford is President and CEO of a privately held international real estate investment company. She has extensive experience in capital planning, capital improvement execution, operational budgeting, team management and creating reporting systems that maximize operational efficiency. Shanni completed her BA and Urban Land Economics at UBC and her MBA in business strategy at the Sauder School of Business. During her tenure on the Society Board since 2018, Shanni was Vice Chair for 4 years and has been Chair of the Advancement Committee, Chair of the Properties and Facilities Committee, a member of the New Buildings Task Force and an ex-officio member of the Foundation Board for 6 years. Shanni began her tenure as Chair of the Society Board of Directors in 2023. She and her husband Michael have two sons currently attending St. George’s (’25, ’27). Her sons are the 3rd generation of her family to attend Saints, joining their father, uncle, grandfather and great-uncle as Georgians. Shanni graduated from Crofton House, so has a longstanding connection and understanding of Independent Schooling.
  • Owen Cameron '99 — Ex-Officio OBA Chair

    Owen Cameron Owen Cameron '99, a proud "Lifer" and alumnus of St. George's School, serves as Board Chair of the Alumni Board. He proudly watches his sons, Bryce '30 and Braeden '33, attend St. George's School while his daughter, Tenley '36, enjoys her time at Crofton House. Owen is a dynamic entrepreneur, investor, and advisor with a proven track record of founding and leading successful ventures in technology, investment, and business advisory. His entrepreneurial spirit is matched only by his passion for philanthropy, evident in his current roles as Co-founder & Board Vice-Chair of the Plunge for the Cure Foundation and as a member of the VGH & UBC Hospital Foundation's Leaders Council & Co-Chair of its Vitality Gala. Owen's unwavering commitment to St. George's and tireless support for various charities exemplify his dedication to making a meaningful difference in both the school and the broader community. When he's not championing these causes, you will most likely find him coaching his children's soccer, baseball, and other sports teams.
  • Seonaid Charlesworth – Strategic Planning & Partnerships Committee Chair

    Seonaid Charlesworth
    Seonaid Charlesworth, PhD, was elected to the Board in 2018. She currently serves as Chair of the Strategic Planning and Partnerships Committee. She leads the advisory practice of Spencer Stuart in Canada. She advises Boards of Directors and CEOs across North America on long-term CEO succession planning. With over 20 years of experience working in Chicago, San Francisco and Vancouver, she works with CEOs to develop succession for key roles through executive assessment, CEO coaching and executive team development and alignment. Seonaid earned a PhD and MA in Industrial / Organizational Psychology from UBC and a BA from Queen’s University. She and her husband, James, have a son, Finn '23, and a daughter at Crofton.
  • Karen Grant

    “Karen Karen Grant is a proud member of the Musqueam Indian Band and an advocate for the growing relationship between Musqueam and St. George's School. A proud mother of two Saints boys, Felix '22 and Owen '25, Karen is a consistent advocate for the great work of the school community. Mrs. Grant is currently the Office Manager of the Musqueam Indian Band and a member of the Finance and Admin Committee for her nation. Her time served in these roles is to help achieve the vision of her community, ensuring success for each individual. During her spare time, Karen can be found playing competitive soccer within the Indigenous soccer circuit and participating in community cultural events. Her family has many ties to leadership roles in Musqueam, and she looks forward to sharing her strong skill set with the St. George's working group.
  • Jessica Hanick — Ex-Officio Director (SGPA President)

    “Jess Jess Hanick joined the St. George’s Parents’ Association when she saw an opening with her skill set in Strategic Communications. More importantly, it was an opportunity to join a board with a mission to give back to the School and support the community's ongoing development. It was just what she needed to proactively give back in a way that would impact her boys’ time at Saints. St. George's School community extends beyond the school walls and impacts all faculty, staff, students, parents, and alumni. Jess has two boys presently attending St. George' School, Benjamin '28 and Max ‘30.
  • Mike Jagger — Property & Facilities Committee Chair

    Mike Mike is founder and President of Provident Security with operations in Vancouver and Whistler. Mike attended Simon Fraser University (Criminology). He is a past president of EO Vancouver (Entrepreneurs' Organization) and currently serves on the boards of the Kerrisdale Business Association, Langara College Criminal Justice Program, and BCIT Security Systems Technician Program. As a public speaker, Mike has presented to business groups throughout North America about Marketing, Automation, Burglary Prevention & Entrepreneurship. Mike’s son Henry graduated in 2023.
  • Nigel Kirkwood '83 — Finance & Audit Committee Chair

    Nigel Kirkwood
    Nigel Kirkwood '83 is the CFO of Plenary Americas, a long-term investor, developer and manager of public infrastructure in North America. He is responsible for the oversight of the Group Finance, Risk, and IT functions and works closely with the CEO on corporate initiatives and other operational matters. Prior to joining Plenary Americas in 2017, Nigel was the CFO for a portfolio of small-cap, publicly-listed companies. Before relocating to Vancouver in 2009, Nigel spent 16 years in London, where he was a Director in Mergers & Acquisitions at Citigroup. Nigel obtained his Chartered Accountant designation working with Ernst & Young in Toronto and has an M.A. in Economics from Queen’s University. Nigel is a proud member of our OBA Association, as is his son, Thomas '19.
  • Karen Kwan — Nominating & Governance Committee Chair

    Seonaid Charlesworth
    Karen Kwan is Aritzia’s Chief People and Culture Officer, overseeing all aspects of the People & Culture Department. Prior to joining Aritzia in 2017, Karen began her HR career in banking and Lululemon Athletica, where she held key global HR leadership roles. She is a Chartered Professional in Human Resources and earned a Bachelor of Arts from Simon Fraser University, majoring in English Literature and minoring in Sociology. Karen was born and raised in Vancouver, BC, and has two children, one of whom attends St. George's School and will graduate in 2033.
  • Mark Lewis '89 — Ex-Officio (Foundation Chair)

    Mark Lewis '89 is a partner at the law firm Bennett Jones LLP, where he is Co-Head of the firm's National Real Estate Group. He has served on the Foundation's Board since 2017 and became Chair in 2023, at which time he joined the Society Board. He has been a member of the Foundation Board’s Audit & Risk Management, Properties & Facilities and Nominations & Governance Committees. Mark is a current director of the Urban Development Institute a member of the Campaign Cabinet of the Royal Columbian Hospital Foundation, and a former President and director of both BC Rugby and the Vancouver Rowing Club. Mark's son Carter graduated from Saints in 2020.
  • Mike Mackay '04 — Board Vice-Chair, Advancement Committee Chair

    “Mike Mike Mackay '04 is a member of our OBA, graduating as a "Lifer", and lives in Vancouver with his wife, Sophia, and their two children, Willa and Theo. Mike is the president of a local real estate company and believes that to whom much is given, much will be required. He is passionate about serving his community, particularly that of St. George’s School, which has afforded him so much. Some of Mike's most rewarding life experiences have been realized through volunteer opportunities. In addition to St. George’s, he sits on the boards of the Urban Development Institute and Arts Umbrella, and has represented his province and country in rugby.
  • Hao Min

    Shanni Eckford
    Hao Min has been serving as a Board Member since 2023. Having graduated from UBC with a Bachelor of Applied Science in Computer Engineering (2009) and an MBA (2013), Hao currently leads a team of passionate real estate development professionals at Bold Properties, focused on providing housing solutions in Greater Vancouver. Together with his wife Sabrina, they have a son, Mario ‘32, who attends St. George's School, and a daughter named Mira, who attends York House School.
  • John Newell

    “Martha John Newell is co-founder of Windset Farms and has served as Chief Operating Officer since he and his brother Steven '91 founded the company in Abbotsford, BC, in 1996. Windset Farms is one of the largest Controlled Environment Agriculture producers and marketers of sustainably grown greenhouse produce in North America, with operations in British Columbia, California, and Mexico.  John has served on several industry boards, including the United Fresh Produce Association, and currently serves as a director on the BC Vegetable Marketing Commission. He has a Bachelor of Science (Microbiology ‘92) from the University of British Columbia. He lives with his wife Jenny and three children, Johnny '17, as well as Kate and Sophie, who graduated from York House School in Vancouver.
  • Martha Piper

    “Martha Martha Piper, OC, OBC, was the 11th President and Vice-Chancellor of the University of British Columbia (UBC) from 1997 to 2006 and served as the Interim President of UBC from 2015-16. She served as Director of the School of Physical and Occupational Therapy, McGill University (1979-85), Dean of the Faculty of Rehabilitation Medicine, University of Alberta (1985-93) and Vice President, Research and External Affairs, University of Alberta (1993-97). Martha has served on the Boards of Directors of the Bank of Montreal, Shoppers Drug Mart, TransAlta Corporation, and Grosvenor Americas Ltd. The recipient of 17 honorary degrees, Dr. Piper is an Officer of the Order of Canada and a member of the Order of British Columbia.
  • Gary Pooni

    “Gary As president of urban planning consulting firm Pooni Group, Gary Pooni has spearheaded some of the region’s most complex real estate development projects, landing him on Vancouver magazine’s ‘Power 50’ list for three consecutive years. Besides serving as a St. George’s School Board Member since 2018, he sits on the board of the Urban Development Institute, the Vancouver Canucks Alumni Foundation and the Royal Columbian Hospital Foundation, among others. Gary is passionate about community causes and also has a family non-profit group that provides support and scholarships to numerous local initiatives annually. But Gary’s most important and rewarding role? Being a father to son Tage ‘24, who has been a student at St. George’s since Grade 1.
  • Peter Wilken

    Peter Wilken has been closely involved with St. George’s School as a parent to Paolo ‘13 and Jack ‘21, husband to Regina, who sat on the SGPA Board and was co-convenor of the Fair two years running, and as a Strategic Advisor to the school Leadership Team for 16 years. He is an ex-Adman, and Canada is the 11th country he has lived and worked in. He is a Brand Management Consultant, author, speaker and brand-building coach.
  • George Zhao

    “George George Zhao brings to Saints his past independent school philanthropic experience, having previously served on the Headmaster’s Circle of Meadowridge School, where he advised the headmaster on their capital campaign, facility expansion plans, and engagement with the school’s large Chinese parent population. Furthermore, he initiated the school’s Audacity Campaign committee and construction committee. Rooted in his own experience as a serial entrepreneur and founder of a security system software and hardware integration company, his particular interest in education lies at the intersection of STEM and socially responsible entrepreneurship, as he sees these as crucial elements for the world of today and tomorrow. Since 2008, he has given to education charities in rural China near Sichuan and Tibet, providing educational resources directly to several schools. In addition to his record of supporting education, he feels fortunate to have a global perspective, having been educated in China and, for his graduate diploma, in Toronto. Having joined the Saints community in 2020, George and his wife, Annie, have two boys in the Junior School: Marshall ‘30 and Mark ‘32.

Society Board Committees

  • Executive Committee

    The Executive Committee is comprised of the Board Chair and the Chairs of each of the standing committees. The purposes of the committee are to:
    • Ensure the Board consistently applies a strategic perspective to governance matters; 
    • Focus the work of the Board and its Committees on strategic matters; 
    • Act on behalf of the Board between Board meetings on significant matters where it is not practical or feasible for the Board to meet; 
    • Support the Head of School in the sustainable administration of the School’s affairs; 
    • Lead the Head of School’s performance and compensation review process; 
    • Lead the risk management oversight process; and 
    • Plan and prioritize items to be dealt with by the Board.

  • Advancement Committee

    The St. George’s School Foundation, by contract, outsources its fundraising activities to the school, so the School’s advancement plans are carried out in consultation with the Foundation and on behalf of the Society and Foundation. Within this context, the purpose of the Advancement Committee is to assist the Board in fulfilling its advancement responsibilities and to provide advice and assistance to the School’s Advancement Office.

  • Nominating & Governance Committee

    The purposes of the Nominating & Governance Committee are to:
    • Ensure the Society has an effective governance framework and the Board is effective in carrying out this responsibility;
    • Identify and recommend candidates for election or appointment to the Board; and
    • Oversee the Director nomination and election process.

  • Finance & Audit Committee

    Primary responsibility for the School’s financial reporting, accounting systems, financial risk management, pension and internal controls is vested in management and overseen by the Board.

    The purpose of the Finance and Audit Committee is to assist the Board in fulfilling its oversight responsibilities by reviewing the financial information which will be provided to the Society and others, the systems of controls which management and the Board have established, and the audit process.

  • Strategic Planning & Partnerships Committee

    The purpose of the Strategic Planning & Partnerships Committee are: 
    • Ensure a robust Strategic Planning process is in place; 
    • Oversee the development of strategic partnerships that align with and advance the School's mission, vision, and values for the mutual benefit of the partners; 
    • Oversee the Head of School succession process; and 
    • Support the Head of School in the CAIS (Canadian Accredited Independent Schools) accreditation process.

  • Property & Facilities Committee 

    The purpose of the Property & Facilities Committee is to assist the Board in ensuring that:
    • The School's facilities and facility operations support delivery of the School's Strategic Plan; 
    • Current facilities are appropriately maintained; and 
    • Risks related to facilities and facility operations are appropriately identified and managed.

  • New Buildings Task Force 

    The New Buildings Task Force was formed to oversee and manage the construction of the new Senior School building. The task force meets regularly and is comprised of Society Directors, Foundation Trustees and others, and will be dissolved once construction and related activities are completed. 

St. George's School Foundation

The St. George’s School Foundation is a public foundation incorporated in 1975 whose objective is the advancement of education through providing classroom and athletic facilities, scholarships and bursary assistance and fundraising for capital projects. The Foundation owns the property and facilities on which the School operates and manages the School’s endowment.  The Foundation Board is currently comprised of 10 volunteer Trustees.

Pursuant to the Bylaws, the Board of Trustees of the Foundation consists of:
    • Up to four Ex-Officio Trustees:
      1. the person serving as the Chairman of the School Society;
      2. the person who is serving as Vice-Chairman of the School Society;
      3. two other persons that the School Society may appoint to the Board of Trustees;
    • Up to eleven elected Trustees elected by the members.

  • Mark Lewis '89 — Board Chair

    Mark Lewis '89 is a partner at the law firm Bennett Jones LLP, where he is Co-Head of the firm's National Real Estate Group. He has served on the Foundation's Board since 2017 and became Chair in 2023, at which time he joined the Society Board. He has been a member of the Foundation Board’s Audit & Risk Management, Properties & Facilities and Nominations & Governance Committees.   • Ben Cherniavsky

    Ben Cherniavsky is a partner at Fort Capital, a leading independent investment banking advisory firm, and was previously employed as an equity research analyst at Raymond James Ltd. Prior to his experience in capital markets, Ben worked in public finance with the Federal Department of Finance and the University of Toronto. In addition to his presence on the Saint’s Foundation board, Ben also sits on the board of Toromont Industries and INDEQCO Ltd. Other past and present volunteer boards include The Cherniavsky Junior Club, the Whistler Tennis Association, and the Children’s Hearing and Speech Centre. Ben is also the father of a St. George's alumnus who graduated in 2024!

  • Ryan French '84 — Nominating & Governance Committee Chair

    Ryan French
    Ryan French '84 is a Director and Portfolio Manager at Odlum Brown Limited, an independent, full-service investment firm founded in 1923. He began his career at Odlum Brown in 1994, managing investments for individuals, corporations, trusts, and foundations. Since 2010, he has been a member of the firm’s Board of Directors and Retail Advisory Committee. Ryan has previously served as a Director of the St. George’s OBA (2007-2012), including two years as that Board’s Vice President. His sons, Rhys ‘17 and Kieran ‘22, are also Georgians.
  • Victor Tsao — Audit & Risk Management Committee Chair

    Victor is a parent to St. George's student, Yugo '29. He is a corporate commercial lawyer and a partner at the law firm Bennett Jones LLP. Victor leads the firm's Asia Pacific and China Practices. Victor is fluent in English, Chinese, and Japanese.
  • Chris Tsoromocos — Investment Committee Chair

    Chris T.
    Chris Tsoromocos has over 25 years of investment and executive leadership experience across a wide range of sectors, including private equity, real estate and venture capital. Chris is currently the Head of Prime Quadrant Partners, the direct investing platform for Prime Quadrant, an organization focused on advising 200 affluent families across North America and $18 billion in assets. Chris has a Master of Business Administration with honours from the Wharton School and a Bachelor of Commerce from the Sauder School of Business. Chris is also a CPA. Chris and his spouse, Rachel, have two children, including a son who will graduate from Saints in 2029.
  • Jamie Brown '86

    Shanni Eckford
    Mr. Brown is Head of Capital Markets for Western Canada at Canaccord Genuity Corp, a leading independent investment dealer with a global presence. He has spent over 25 years in both the Canadian and US capital markets. Based in Vancouver, Mr. Brown has worked and lived in Toronto, Boston and New York. Mr. Brown is a member of our OBA Alumni Association and a graduate with distinction from McGill University (B.A.) He is a Chartered Business Valuator (a member of the Canadian Institute of Chartered Business Valuators). He also holds the Institute of Corporate Directors Designation (ICD.D). He served for multiple terms on the board of BC Hydro and acted as Chair of its wholly owned subsidiary Powerex Corp. He is an active member of the Young President’s Organization and currently serves on the Board of Trustees for the Vancouver Art Gallery. Mr. Brown has four boys with his wife Christina. They all have attended or are attending St. George’s representing the third generation of Browns at the School.
  • Nigel Kirkwood '83 — Ex-Officio Trustee

  • Audit & Risk Management Committee

    Primary responsibility for the Foundation’s risk management, financial reporting, accounting systems and internal controls is vested in management and is overseen by the Board. The purpose of the Audit & Risk Management Committee is to assist the Board in fulfilling its oversight responsibilities by reviewing the key risks and the risk management processes, the financial information which will be provided to the members and others, the systems of controls which management and the Board have established, the annual budgeting process and the audit process.

  • Investment Committee

    The purpose of the Investment Committee is to monitor and review the managed financial assets of the Foundation as instructed by the Board. The Committee is to assess and make recommendations regarding the appointment and termination of external asset managers, ongoing managed portfolio performance, and investment issues as they arise. The committee is to provide leadership on matters of investment policy and strategy.

  • Nominating & Governance Committee

    The purpose of the Nominating & Governance Committee is to assist the Board in fulfilling its mandate for the recruitment of appropriate Board members.
